2Vendor warranties on title and lawful sourcing

For every item sold to CNJ, now and in the future, the vendor warrants the following. These warranties apply to 100% of the goods in every shipment, not to a sample. Please check each one.

Good title. The vendor owns the goods outright and has full legal right to sell them. The goods are free of any lien, security interest, or claim by any other person.Not stolen. No goods were stolen, embezzled, or obtained by theft, robbery, burglary, cargo or truck theft, or organized retail crime.Not obtained by fraud. No goods were obtained through fraud, including stolen or fraudulent credit cards, return fraud, refund fraud, or false identities.Not counterfeit. All goods are genuine products of the brand shown. None are counterfeit, knock-offs, or relabeled, and none infringe any trademark, patent, or copyright.Not tampered with. Serial numbers, IMEIs, UPC labels, and security tags have not been removed, altered, or defaced.Lawfully imported. Any imported goods were properly declared to customs, with all duties and taxes paid. They are not smuggled or subject to forced-labor import restrictions.Not from sanctioned parties. The vendor and its suppliers are not on any US sanctions or restricted-party list, and the goods did not come from a sanctioned country.Not recalled or restricted. No goods are under an active safety recall, and none are restricted from resale by law.Accurately described. Condition, quantity, model, and specifications match the vendor's offer and invoice.

3Documentation and cooperation

The vendor agrees to:

Provide a proper invoice for every sale, showing the vendor's legal name, item descriptions, quantities, and prices.Provide proof of purchase or chain of custody for any shipment within 3 business days when CNJ asks — for example supplier invoices, liquidation receipts, or authorized-distributor paperwork.Provide serial number or IMEI lists for serialized items (phones, laptops, GPUs, tablets) when CNJ asks.Cooperate fully with CNJ, manufacturers, and law enforcement if any goods are questioned, investigated, or claimed by another party.Tell CNJ in writing right away if the vendor learns or suspects that any goods sold to CNJ were stolen, counterfeit, or otherwise not legitimate.

4Remedies, indemnity and signature

If any goods breach the warranties in Section 2, the vendor agrees that:

Full refund. The vendor will refund the full purchase price of the affected goods within 10 business days of CNJ's written notice. The refund is owed even if the goods were seized or surrendered to their rightful owner or to law enforcement.
Costs. The vendor will repay CNJ's shipping, storage, handling, customer refunds, chargebacks, and reasonable legal fees caused by the breach.
Indemnity. The vendor will defend, indemnify, and hold harmless CNJ, its owners, and its customers against all claims, fines, penalties, and losses caused by the breach.
Right to hold and cancel. CNJ may hold payment, reject shipments, or cancel open orders with no liability if it reasonably suspects any goods are not legitimate.
Reporting. CNJ may report suspected stolen or counterfeit goods to law enforcement or the brand owner.
Survival. These obligations continue after payment, resale, or the end of the business relationship.
